In short

  • Promerang is a pilot ad exchange between business websites, run from Poland under Polish law.
  • Show other members' ads on your site to earn credits, and spend credits to show your ads on theirs. One confirmed view moves one credit.
  • Credits are not money. They work only inside Promerang and cannot be cashed out.
  • Every site is verified by DNS and every campaign is reviewed by a person before it runs.
  • Do not fake views or clicks, view your own ads, or advertise anything illegal or misleading. We filter invalid traffic and may reverse credits or suspend sites.
  • The Service is for businesses. You can close your account at any time.

This summary helps you find your way. The full text below is what applies.

1. Who we are and what these Terms cover

1.1 These Terms of Service (the “Terms”) set out the rules for using Promerang, the service available at promerang.com (the “Service”). They are the terms and conditions referred to in Article 8 of the Polish Act of 18 July 2002 on Providing Services by Electronic Means.

1.2 The Service is provided by [Operator: full name and business name of the sole trader, or company name], [Registered business address in Poland], [NIP, REGON and CEIDG entry, or KRS number and registry court] (“we”, “us”).

1.3 You can reach us at [contact email]. This address is also our single point of contact for users of the Service and for authorities under Articles 11 and 12 of the Digital Services Act (Regulation (EU) 2022/2065). You can write to us in Polish or English.

1.4 How we use personal data is explained in the Privacy Policy.

3. Who can use Promerang

3.1 The Service is for businesses. You may use it only in connection with your business or profession, for example to promote a product or website you run. It is not offered to consumers.

3.2 You must be at least 18 years old. If you act for a company or another organisation, you confirm that you may accept these Terms on its behalf.

3.3 If you are a sole trader and the contract with us is not of a professional nature for you within the meaning of Article 38a of the Polish Consumer Rights Act, section 15 also applies to you.

3.4 One person or business may hold one Account, which can include several Sites. Do not create further Accounts to get around limits, suspensions or the rules on owner traffic.

4. What the Service includes

4.1 During the Pilot, the following are free of charge:

  • an Account with a dashboard;
  • adding Sites and verifying that you control them by DNS;
  • writing Campaigns for the ad bar, with a live preview;
  • the Widget and placement code for your Sites;
  • matching ads by audience and language, and targeting rules that both Hosts and Advertisers can set;
  • a credit ledger, statements, CSV exports and optional weekly email reports;
  • account emails, such as address confirmation and password reset.

4.2 Where we make it available, you can also buy credit packages (section 9).

4.3 During the Pilot we may add, change or remove features. We will tell you in advance about changes that materially reduce what you get, as described in section 16.

4.4 We do not promise any number of views, clicks, visitors or sales. Where and how often your Campaigns appear depends on other Members' Sites, targeting, balances and traffic.

5. Your account

5.1 To register, you enter your email address and a password, pass the automated security check and confirm your address through the link we email to you, which is valid for 24 hours. The contract for the Service is concluded when you confirm your address and runs for an indefinite period.

5.2 Technical requirements: a device with internet access, an up-to-date common web browser with JavaScript and cookies enabled, and an email account. To host ads, you also need a website served over HTTPS whose HTML you can edit and whose DNS records you can change. To advertise, you need a destination page on your own domain served over HTTPS.

5.3 Keep your password secret. You are responsible for what happens in your Account. Tell us straight away if you suspect someone else has access to it.

5.4 Using any online service carries risks, such as malware, phishing or interception of data. We use HTTPS and other safeguards, but please also keep your own devices and software secure.

6. Sites, campaigns and review

6.1 You may add only Sites you own or control. You show this by publishing the DNS TXT record given in your dashboard (at _promerang.<your domain>). Keep the record in place while the Site uses the Service.

6.2 A person reviews every Site and every Campaign before it can run. We may approve, reject or ask for changes.

6.3 The Campaign form automatically checks your text against the character limit that the name and text share and our editorial rules, for example no text in capitals only, no exclamation mark in the name and no repeated punctuation. We may change the character limit; a change applies to Campaigns submitted afterwards. Our server repeats these checks.

6.4 A Campaign's destination link must use HTTPS and point to your Site's domain or one of its subdomains.

6.5 You can start, stop and resume approved Campaigns and change targeting at any time. To change an approved Campaign's text, submit a new Campaign for review.

7. Showing ads on your site

7.1 Place the Widget only on pages of your verified Site, using the code from your dashboard. Do not change how the Widget works. You may use its documented options, such as placement, theme, font and accent colour. Visitors can close the ad bar.

7.2 You must not:

  • hide the ad box, cover it, stack it with other content or make it too small to read;
  • remove or cover the “Ad” label;
  • create views or clicks artificially, for example with bots, scripts, automatic page reloads, pop-unders, embedding your pages on other sites, traffic exchanges or paid traffic bought to generate views;
  • ask, encourage or reward anyone to view or click ads;
  • view or click ads on your own pages to earn credits, or let your team or linked accounts do so;
  • place the Widget on pages whose content breaks section 10 or the law;
  • interfere with our traffic checks, our ad interface or other Members' ads.

7.3 When a page with the Widget loads, your visitors' browsers connect to our servers, as described in the Privacy Policy. You must mention Promerang in your own privacy policy, with a link to ours. Where the law that applies to your site requires your visitors' consent for the Widget, for example under rules on storing or reading information on their devices, you must obtain that consent before the Widget loads.

7.4 Insofar as you and we jointly decide on collecting your visitors' data and passing it to us when the Widget loads, we are joint controllers under Article 26 GDPR, and we agree as follows: you inform your visitors and, where required, collect their consent; we handle everything else, including answering visitors' requests about their data. Visitors may contact either of us. The essence of this arrangement is published in our Privacy Policy. For all processing after the data reaches us, we are a separate controller.

7.5 We may stop serving ads to a Site, for example when it is suspended, when no Campaign matches it, or when requests do not come from its verified domain.

8. Credits

8.1 Credits are the Service's internal unit of account. Each Site has its own balance.

8.2 When another Member's Campaign is shown on your Site and the view is confirmed, your Site receives one credit and the Advertiser's Site gives one credit. A view is confirmed when at least half of the ad box has been visible in the browser for one continuous second, the confirmation reaches us within five minutes of the ad being served, and it passes our traffic checks.

8.3 Views and clicks do not move credits when, for example, they come from the owner of either Site, their team or a linked account; they are automated or otherwise invalid; the same view is confirmed again; they exceed a per-IP limit set by the Advertiser; or the Advertiser has no credits left. Views on local, private, reserved or unresolved site addresses do not count. The optional development widget previews your own bar without counting views or clicks or moving credits.

8.4 A Campaign runs only while its Site has credits, and the same Campaign is not shown on the same Site more than once every 30 seconds. Views cannot take a balance below zero.

8.5 When a Site is approved for the first time, it may receive a one-time starter grant from a promotional pool while the pool lasts. We set the size of the grant and may change it; it currently grows with the number of members in the network, with a minimum. Promotional credits may be removed if they were obtained in breach of these Terms.

8.6 Credits are not money, electronic money, a payment instrument or a financial product. They cannot be exchanged for cash, paid out, sold or transferred to another Account or Site, except for corrections we make.

8.7 Our ledger is the authoritative record of credits. We may reverse Confirmed Views and the credits they moved, and make other corrections, if traffic turns out to be invalid, after a payment is refunded or disputed, or to fix an error. Every movement appears in your credit statement.

8.8 Credits do not expire while your Account and Site are active. They lapse when the Site is removed or the Account ends, subject to section 9.5.

9. Buying credits

9.1 When we offer it, you can buy credit packages in your dashboard. We show the price, currency, number of credits and whether the price includes VAT before you pay. Purchased credits are added to the Site you buy them for.

9.2 Payments are handled by Stripe on its own checkout page. We do not receive your full card details.

9.3 We add the credits once Stripe confirms the payment. We issue invoices in line with Polish law; send us your billing details to receive one.

9.4 If a payment is refunded or disputed, we remove that order's credits from the Site's balance, which may then fall below zero until it earns new credits.

9.5 Purchased credits are not refundable, except where we made an error, where mandatory law requires it, or where we end the Service or your Account for reasons other than your breach of these Terms. In that last case we refund the price of your unused purchased credits in proportion.

10. Content rules

10.1 You are responsible for your Campaigns, your Sites and your destination pages, and for complying with the law that applies to them, including rules on consumer protection, unfair competition, comparative advertising and sector-specific advertising, such as for financial services.

10.2 Campaigns, destination pages and pages that show the Widget must not contain or promote:

  • anything illegal, or illegal products and services;
  • false or misleading claims, fake urgency or impersonation of another person or brand;
  • malware, phishing, deceptive downloads or unwanted software;
  • sexual or adult content;
  • gambling or betting;
  • tobacco, e-cigarettes, alcohol, drugs or weapons;
  • prescription medicines or health claims the law does not allow;
  • investment schemes, crypto-assets or other high-risk financial products;
  • hate, harassment, violence or discrimination;
  • content that infringes copyright, trade marks or other people's rights;
  • political advertising within the meaning of Regulation (EU) 2024/900;
  • content aimed at children.

10.3 You confirm that you hold the rights to everything you submit. You grant us a free, non-exclusive licence, for every country, to store, copy, format and display your Campaigns, Site name and domain, and a brand tile made from your Site name's initial: on other Members' Sites through the Widget, in previews, and in the Service, including showing your Site's name, domain and category to other Members in targeting tools. The licence lasts while the Campaign or Site is in the Service and afterwards for as long as we need to keep records.

11. Moderation, notices and decisions

11.1 How we moderate: a person reviews every Site and Campaign before it goes live; the Campaign form checks text automatically (section 6.3); and an automated traffic scorer decides whether views and clicks count and can raise alerts. Rejections, suspensions and account restrictions are decided by a person, not by an automated system.

11.2 Anyone can report content they consider illegal, such as an ad or a destination page, by writing to [contact email]. Please include: why you consider it illegal; where exactly it is (the ad text, the page where you saw it, the destination link); your name and email address; and a statement that you believe in good faith that the information is accurate and complete. We confirm receipt, decide carefully and objectively, and tell you our decision and the ways to challenge it.

11.3 If content is illegal or breaks these Terms, or traffic is invalid, we may reject or stop a Campaign, suspend a Site, reverse credits, or restrict or close an Account. We will tell you clearly what we did and why: the facts, the legal or contractual basis, whether automated means were involved, and how you can challenge it, unless the law prevents us.

11.4 You can challenge our decision free of charge within six months by writing to [contact email]. A person will review it and reply, normally within 14 days. You may also use an out-of-court dispute settlement body certified under Article 21 of the Digital Services Act, or go to court.

12. Complaints about the Service

12.1 If the Service does not work as described, for example your credits look wrong, write to [contact email]. Please include your Account email, the Site concerned, a description of the problem and what you would like us to do.

12.2 We reply by email within 14 days of receiving the complaint. If we need more information, we will ask for it, and the 14 days then run from when we receive it.

13. Suspension and termination

13.1 You can end the contract at any time by writing to [contact email] from your Account's email address. We close the Account within 14 days, stop your Campaigns and stop serving ads to your Sites.

13.2 We may end the contract by email with 30 days' notice, for example when the Pilot ends. In that case section 9.5 applies to unused purchased credits.

13.3 We may suspend your Sites or Account, or end the contract with immediate effect, if you seriously or repeatedly breach these Terms, in particular by creating invalid traffic, running several Accounts to get around the rules, providing illegal content or not paying, or if the law or an authority requires it. Where reasonable, we first ask you to stop the breach.

13.4 What happens to your data after the contract ends is explained in the Privacy Policy.

14. Liability

14.1 The Service is in a Pilot phase. We work to keep it running, but it may be interrupted for maintenance, updates or reasons beyond our control, and we do not guarantee uninterrupted operation or particular results.

14.2 To the extent the law allows: our liability under the statutory warranty for defects (rękojmia) is excluded; we are liable only for actual loss, not for lost profits; and our total liability is limited to the higher of the amount you paid us in the 12 months before the event and PLN 500. These limits do not apply to damage caused intentionally or to liability that cannot be limited by law.

14.3 You are liable for your content, your Sites and how you use the Service. You will compensate us for losses and third-party claims, including fines and reasonable legal costs, caused by your breach of these Terms or the law.

14.4 Other Members are responsible for their own Sites, Campaigns and destination pages. We act on notices about them as described in section 11.

15. Sole traders with consumer rights

15.1 This section applies to you if section 3.3 does.

15.2 The limits in section 14.2 do not apply to you, and no provision of these Terms applies to you to the extent that it would be an unfair contract term under Articles 3851 and 3855 of the Polish Civil Code.

15.3 The provisions of the Polish Consumer Rights Act on digital services and on the right of withdrawal apply to you to the extent Article 38a of that Act provides. You may withdraw from the contract, or from a credit purchase, within 14 days without giving reasons by writing to [contact email], unless that right has expired under Article 38 of that Act. If you asked us to start providing the service before the end of that period, you pay for what we provided up to your withdrawal.

16. Changes to these Terms

16.1 We may change these Terms for an important reason: a change in the law or a decision of an authority; a change in the Service's features or scope, including the end of the Pilot; security or the prevention of abuse; a change in our details; or a change in the price of paid services, which then applies only to later purchases.

16.2 We will email you and publish the new version at least 15 days before it takes effect, unless the law requires a faster change or we must respond to an unforeseen and imminent threat, such as fraud or a security issue. If you do not accept the change, you can end the contract before it takes effect. If you keep using the Service after that date, the new Terms apply. Purchases made before a change remain governed by the Terms in force when you made them.

17. Final provisions

17.1 These Terms are governed by Polish law.

17.2 Disputes with businesses will be settled by the common court competent for our registered address. Section 15 members may rely on the general rules on jurisdiction.

17.3 These Terms are published in Polish and English. If the versions differ, the Polish version prevails.

17.4 You can read, save and print these Terms free of charge at any time from this page, for example by saving it as a PDF.

17.5 If any provision is held invalid, the remaining provisions stay in force.

17.6 We may transfer the contract to a successor of our business after telling you. You may transfer it only with our written consent.

17.7 These Terms apply from 26 October 2026.
